Corporate Affairs & Governance Manager

Local public sector organisation is seeking a Corporate Affairs & Governance Manager to start a ASAP on a contract basis for a minimum 6 month period.

Supporting the Company Secretary to deliver the highest levels of Corporate Affairs and Governance ensuring that the corporate affairs and governance are undertaken to the highest standards of probity and in accordance with all statutory and legislative requirements.

The post holder will need to be conscientious, meticulous and at all times work in a confidential manner.

Key duties and responsibilities: –
• Ensuring that the Board and its Committees are properly constituted, operated, quorate, and supported, according to Standing Orders, the regulatory framework and Terms of Reference.
• Ensuring all Registers required by the Constitution or related legislation are established and maintained, and made available for public inspection along with any appropriate reports.
• Maintain the registers of Declarations of Interest and the AGM process.
• Ensure that the Board and its committees Forward Planners are up to date for the year ahead, that agendas are set and distributed to the 6-4-2 schedule
• Co-ordinate and assist with the production of all appropriate reports, accounts and forward plans to the relevant bodies and ensure that they are available for public inspection.
• Responsible for the provision of administrative and secretarial support to all aspects of the Board Committees as required, including minute taking, and provide cover across the team.
• Ensure the effective conduct of the Board in particular, through the planning, preparation and timely submission of agendas, reports, supporting papers, minutes and action logs and ensuring that they comply with all Polices.
• Ensure Minutes of the Board and Committees properly record decisions made and their context.
• Monitoring the governance implications of business papers put to the Board and ensuring follow up of decisions.
• Responsible for managing and co-ordinating the conferences and events (AGM & stakeholder events) or functions as required by the Chief Executive, Chair, Director of Governance or Company Secretary.
• To ensure all communications (internal and external) contribute to a positive image and are of the highest possible standard.

Qualifications and Experience:-
• Hold or studying for a relevant professional qualification (e.g. Chartered Secretary, legal, accountancy etc.)
• Educated to degree level or equivalent
• ICSA Advanced Certificate
• Demonstrable knowledge of Board & corporate administration processes
• Demonstrable experience of servicing and minute taking of high level meetings
• Sound and up to date knowledge of Corporate Governance
• Excellent organisational & problem solving skills
• Knowledge of planning schedules for a Board and its Committees.
• Ability to make decisions quickly and independently
• Ability to prioritise workload & deliver to tight deadlines
• Able to work on a flexible basis
• Ability to communicate effectively with people from a variety of backgrounds
• Strong team member
